Eligibility

To use AIHubLogic services, you must be legally capable of entering into a binding agreement and comply with these Terms. Businesses and individuals may engage our services subject to local laws and any platform-specific requirements.

You must be at least 16 years old to use AIHubLogic directly. If you are acting on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

You agree to use our services lawfully. You must not use AIHubLogic to develop, host, or distribute illegal content, facilitate wrongdoing, or infringe third-party rights.

Access to AIHubLogic services may be restricted in certain countries. It is your responsibility to ensure compliance with local export, import, and sanctions laws when using our services.

Account Terms

Some AIHubLogic services require creating an account. You are responsible for maintaining the confidentiality of account credentials and for all activities that occur under your account.

You agree to provide accurate and complete information when creating or updating your account. Maintaining current information helps us deliver services and communicate about updates or issues.

Protect your login details and devices. Notify us immediately if you suspect unauthorized access. We will assist with account security measures but cannot accept liability for losses resulting from compromised credentials.

Accounts are personal and non-transferable unless explicitly authorized in writing by AIHubLogic. Transfers of subscriptions or licenses require prior approval.

If you suspect your account has been hacked, contact support immediately at +14162365031 or [email protected]. We will take reasonable steps to secure the account and advise on remediation.

We may suspend or restrict access to accounts that violate these Terms, threaten service integrity, or create legal exposure. We will notify you when feasible and provide reasons for suspension when appropriate.

Service Description

AIHubLogic offers AI software development, automation design, integration services, and consulting to help organizations reduce manual work and improve decision support. Deliverables, timelines, and scope are defined in individual proposals or statements of work.

We may modify, update, or discontinue features or services. Where changes materially affect ongoing paid services, we will notify you and discuss adjustments to scope or pricing as needed.

AIHubLogic strives for high availability but cannot promise uninterrupted access. Scheduled maintenance, third-party outages, or exceptional events may impact service availability. We communicate scheduled maintenance in advance whenever possible.

Acceptable Use

To protect our platform and users, certain behaviors are prohibited. Violations may result in suspension or termination of service.

• No unlawful, fraudulent, or malicious activity, including distribution of malware or facilitation of illegal acts.
• No attempts to breach system security, perform denial-of-service attacks, or bypass access controls.
• No infringement of intellectual property, privacy, or publicity rights of others.
• No abuse of automated systems to send unsolicited communications or scrape content in violation of terms.
• No uploading of content that is obscene, defamatory, or promotes violence or discrimination.
• No misrepresentation of affiliation with AIHubLogic or misuse of brand assets.
• No use of our services for high-risk applications where failure could lead to significant harm without explicit written agreement.

User Content

User Content means any content you create, upload, or submit through AIHubLogic services. You retain ownership of your User Content subject to the license granted below.

You retain all rights, title, and interest in the User Content you provide, excluding any content we create under a separate agreement or work-for-hire arrangement.

By submitting User Content, you grant AIHubLogic a limited, non-exclusive, royalty-free license to use, reproduce, and modify that content solely to provide and improve our services and to comply with legal obligations.

You are responsible for the lawfulness, accuracy, and integrity of your User Content. Ensure you have rights to submit third-party data and that use complies with privacy regulations and any contractual obligations.

We may remove or disable access to User Content that violates these Terms or applicable law. If possible, we will notify you and provide reasons for removal.

Intellectual Property

AIHubLogic owns the intellectual property rights in our platform, software, tools, and documentation, excluding User Content and any third-party components. Use of our intellectual property is subject to license only and does not transfer ownership.

• Do not copy, modify, distribute, or create derivative works from AIHubLogic software except as permitted by a license.
• Do not reverse engineer, decompile, or attempt to extract source code from our services.
• Do not remove or alter any proprietary notices, labels, or attributions provided with our services.

Paid Services

Certain AIHubLogic services are provided for a fee. Paid services are governed by the applicable order form, statement of work, or subscription agreement in addition to these Terms.

Pricing is set forth in quotes or subscription plans. Prices do not include applicable taxes or third-party fees unless specified. Custom development projects will have milestone-based pricing detailed in the proposal.

Payments are due as set out in the invoice or subscription terms. We accept payment by the methods specified in your order. Late payments may incur interest or suspension of services.

Subscription services renew automatically unless cancelled as described in your order. Cancellation requests should be submitted in accordance with the cancellation policy to avoid further charges.

Refunds, if any, are handled on a case-by-case basis and depend on the nature of the service and work performed. For subscription services, partial refunds may apply only as set out in the applicable subscription terms.

You may cancel paid services per the cancellation terms in your agreement. For project-based engagements, cancellation may require payment for work completed up to the cancellation date.

You are responsible for any taxes, duties, or levies associated with payments for services, excluding taxes on AIHubLogic's net revenue. We may collect taxes where required by law.

We may adjust prices for new subscriptions or renewals with prior notice. Existing fixed-price contracts will be honored for their stated term unless otherwise agreed in writing.

Failure to pay may result in suspension or termination of services and collection actions. We reserve the right to suspend access until outstanding balances are resolved.

Disclaimer

AIHubLogic provides services and information on an as-is basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that services will meet every specific business outcome.

Limitation of Liability

Except as prohibited by law, AIHubLogic's liability for direct damages arising from our services is limited to fees paid by you for the affected service during the 12 months preceding the claim. We are not liable for indirect, consequential, special, or punitive damages.

Third-Party Services

Our services may rely on third-party providers, open-source components, or integrations. Those providers have their own terms and privacy practices. AIHubLogic is not responsible for third-party content or services and does not endorse them.

Termination

Either party may terminate the agreement for material breach if the breach is not cured within a reasonable period after written notice. We may also terminate services immediately for security threats, illegal activity, or actions that harm our platform.

Upon termination, you must stop using our services and, where applicable, pay all outstanding fees. We may delete or archive your data in accordance with our data retention policy and any applicable agreements.

Privacy

AIHubLogic processes personal data in accordance with its Privacy Policy, available on our website. By using our services, you consent to the collection, use, and sharing of personal data as described in that policy.

Communications

We may send administrative and service-related messages regarding your account. For marketing communications, we will follow your consent preferences. Notices under these Terms should be sent to the contact details provided below.

Changes to Terms

We may revise these Terms from time to time. For material changes affecting customers, we will provide advance notice. Continued use of our services after changes indicates acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws applicable in the Province of Ontario, Canada, without regard to conflict of laws principles. Any dispute will be subject to the courts located in Ontario unless another venue is mutually agreed.

Dispute Resolution

We prefer to resolve disputes informally. If unresolved, disputes may be escalated to formal mediation or litigation in accordance with the governing law. Each party retains the right to seek injunctive relief where necessary to protect rights.
